Important Statement: These Terms of Use apply only to the Zinuto desktop trading training software.
Important Notes
- Zinuto is provided for trading training, replay, journaling, and indicator experimentation only. It does not provide real market order routing, matching, clearing, settlement, or custody services.
- Simulated profit and loss, scoring, risk diagnostics, and statistical projections do not constitute investment advice and do not guarantee any real-world outcome.
- Training records, notes, imported market data, and custom indicators are stored locally by default. The cloud stores only account, subscription, entitlement, and optional market settings snapshot data.
- If you subscribe through the Apple App Store, purchase, renewal, cancellation, restoration, and refund processes are generally governed by Apple platform rules and applicable consumer law.
- Any market data you import must be lawfully obtained and properly licensed by you. Zinuto processes that data locally according to your instructions and does not operate as a cloud-hosted distribution or resale platform for third-party market data.
1. Acceptance and scope
These Terms of Use (“Terms”) apply to the Zinuto desktop software, related account services, subscription and entitlement capabilities, and the updates, documentation, and support processes directly connected to those functions, all provided by Qingchuang Juejin (Qingdao) Information Technology Co., Ltd. (“we”, “us”, or “our”). By downloading, installing, accessing, or using Zinuto, you confirm that you have read, understood, and agree to be bound by these Terms.
These Terms are drafted based on the product implementation available as of April 4, 2026. Only features that actually exist, are actually enabled, and are publicly available at that time are covered as current commitments. Reserved capabilities, placeholders, and future roadmap features are not treated as present promises.
If you do not agree to these Terms, you must stop downloading, installing, or using Zinuto immediately.
2. Product nature and risk disclosure
Zinuto is a desktop-first trading training and replay application. Its core purpose is to let users train, replay, journal, analyze, and experiment with indicators locally using historical or imported market data. Zinuto is not a live execution venue, not a broker terminal, not an exchange member terminal, and not a custody product. It does not hold your real financial assets and does not place real market orders on your behalf.
Charts, training outputs, simulated profit and loss, scoring, risk diagnostics, replay analysis, statistical projections, and custom indicators are provided only for training, research, and record-keeping purposes. They do not constitute investment advice, securities research, financial advice, tax advice, legal advice, or any promise of future profit.
Simulated trading and challenge results do not predict real market performance and do not guarantee real-world profits, win rates, risk control outcomes, or learning results. Any real-world decision you make based on Zinuto output is your own responsibility.
Any market data imported by you must come from a lawful source and be used within the scope of your authorization. Zinuto does not provide a third-party market data distribution service.
3. Eligibility, guest mode, and account state
You represent and warrant that you are old enough and legally competent to enter into these Terms in your jurisdiction. If you use Zinuto on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Zinuto currently follows a guest-first model. Not being signed in does not necessarily prevent you from using local workspaces. In guest mode, some built-in training capabilities remain available and locally generated training and note data may still be created on your device.
Current desktop account states may include UNCONFIGURED, SIGNED_OUT, READY, OFFLINE_GRACE, and OFFLINE_LOCKED. For signed-in users, the current offline grace baseline is 72 hours. After that period, certain account-related cloud capabilities may become limited.
4. Account security and sign-in methods
Zinuto currently supports email registration and sign-in, verification-code flows, password reset, and third-party sign-in through Google and Apple. Third-party sign-in is initiated through the official Google or Apple browser-based flow, returns to the desktop app through the zinuto://auth/callback deep link, and completes the local PKCE exchange through the local backend.
Third-party sign-in data note: we obtain only the unique identity information and public email address required to complete Google or Apple sign-in. We do not collect, store, or use your Google / Apple password, payment data, contacts, photos, geolocation, or any other non-essential personal data. We cannot access your credentials on those platforms, and we do not use sign-in data beyond the purposes described in these Terms.
You are responsible for protecting your email account, password, device access, operating system account, and third-party sign-in credentials. You may not share your account, impersonate another person, or obtain entitlements through deception, forgery, or circumvention.
Current third-party identity provider support is limited to sign-in. Unless we explicitly state otherwise, you should not assume that email and third-party accounts can be automatically linked, that accounts from different providers can be merged, or that signed-in users can manually bind or unbind providers.
5. Software license
Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Zinuto on compatible devices for lawful training, research, journaling, and personal or internal business replay purposes.
Except to the extent that applicable law expressly requires otherwise, you may not copy, sell, rent, sublicense, publicly distribute, reverse engineer, decompile, disassemble, bypass technical restrictions, remove ownership notices, or otherwise attempt to extract, reproduce, or rebuild Zinuto source code, core logic, verification flows, or protected content.
6. Permitted use and prohibited conduct
You may use Zinuto’s free-form simulation, challenge training, historical replay, Replay Notes, custom indicators, local data import, and settings modules within the scope currently made available by the product.
You may not describe, package, or use Zinuto as a live order router, custody tool, broker integration layer, exchange gateway, or production trading system that requires live market matching or settlement.
You may not use the product for unlawful activity. You may not upload, import, store, or distribute data, code, or files that you do not have the right to use. You may not import malicious files, malware, viruses, trojans, destructive scripts, or any content that interferes with the app, local backend, deep-link flows, authentication, subscription verification, or the operating system environment. In particular, you may not import, use, copy, display, train on, replay, analyze, or otherwise process market data that you did not lawfully obtain, are not properly authorized to use, exceed your licensing scope for, or are otherwise prohibited from using or reprocessing under third-party terms.
You may not circumvent, crack, interfere with, or abuse membership limits, offline grace rules, account validation, payment restoration, App Store purchase flows, third-party sign-in flows, directory authorization boundaries, or any other technical protection measures.
You may not access account-related cloud interfaces through automation, scraping, injection, emulation, forged requests, or any other unauthorized method, and you may not abuse Supabase, Apple, Google, email services, or other third-party dependencies.
7. User content, imported data compliance, and local storage
You are responsible for the content you import, create, record, edit, save, or delete, including imported market data, folder paths and directory permissions, training records, simulated orders, Replay Notes, labels, custom indicator scripts, parameter input, and other local content.
You represent and warrant that any market data or other content you import or use has been lawfully obtained by you and that you have all rights, licenses, and authorizations required to import, read, display, train on, replay, journal, analyze, and otherwise process that content in Zinuto. Your use of such content must not violate applicable law, regulatory obligations, exchange rules, data provider rules, subscription contracts, confidentiality obligations, or any other binding arrangement.
Under the current implementation, imported market data is used primarily for local display, training, replay, journaling, analysis, and indicator experimentation on your own device. Except for limited information necessary to support account, subscription, entitlement, and optional market settings snapshot capabilities, Zinuto is not intended to provide market data hosting, distribution, resale, sharing, or sublicensing services. In the ordinary product flow, imported market data is not treated as a cloud-hosted platform data source and is not distributed to other users or third parties.
The local reading, parsing, caching, indexing, visualization, and computation that occur on your device in order to support replay, training, journaling, analytics, and indicator experimentation are technical operations required for product function. They do not constitute a cloud-side market data distribution service.
You understand and agree that Zinuto is not a market data supplier, reseller, or distribution platform. Whether your imported data may be copied, imported, displayed, replayed, analyzed, or used for indicators depends on your relationship with the original data provider and applicable law. We do not substantively review your rights, and we do not guarantee or endorse any third-party data ownership position, licensing scope, or compliance status.
If your imported or processed data involves unlawful source material, insufficient authorization, over-scope usage, breach of third-party terms, or any other compliance issue, you remain solely responsible for the resulting complaints, disputes, claims, regulatory action, penalties, losses, or liabilities. To the extent permitted by law, you must also indemnify us for losses caused by such conduct.
Under the current implementation, training records, challenge records, Replay Notes content and context archives, imported market data, custom indicator scripts and revisions, and honor progress remain on your device by default rather than being uploaded as part of a normal cloud flow. You remain responsible for your device security, data backup practices, permissions management, and the consequences of deletion or reset actions.
If you copy, export, or paste content into another third-party tool or external AI service, that transmission is initiated by you and is not part of Zinuto’s built-in upload path.
8. Membership levels, subscriptions, and entitlement limits
Zinuto currently uses GUEST, MEMBER, and VIP membership semantics on desktop. The current mapping is generally:
- GUEST: not signed in or account unavailable
- MEMBER: signed in with FREE entitlement
- VIP: signed in with PRO entitlement
Current limits are determined by the implemented product behavior and user interface. As of April 4, 2026, the baseline limits are:

If a subscription expires, is downgraded, or you sign out, Zinuto generally preserves existing local data and locks only the items or functions that exceed the active entitlement level. Some replay sessions that were legitimately created while authorized may remain recoverable under specific conditions instead of becoming immediately unusable.
Subscription availability, purchase visibility, billing cycles, restoration, cancellation, and refund behavior may differ depending on the build, distribution channel, region, and platform rules. As of the current implementation, the main paid subscription flow is based on Apple App Store capabilities.
9. Third-party services and platform rules
To provide account, sign-in, email verification, and subscription capabilities, Zinuto depends on third-party services and platforms including, but not limited to, Supabase, external SMTP services, Google / Apple identity providers, Apple App Store / StoreKit 2 / Apple Server API, the system browser, and operating-system-level security capabilities such as macOS Keychain.
When you use those capabilities, the terms of service, privacy policies, payment rules, device rules, and account rules of those third parties may also apply. We are not responsible for those third-party platforms’ own outages, policy changes, regional restrictions, or enforcement actions, although we make reasonable efforts to maintain compatibility within the scope of the implemented product.
10. Availability, updates, compatibility, and local dependencies
Some Zinuto capabilities depend on compatible hardware, operating system functionality, system browser behavior, directory authorization, network conditions, third-party service availability, and current build configuration.
We may release bug fixes, security updates, feature improvements, interface adjustments, subscription configuration updates, and third-party compatibility fixes from time to time. Continued access to some features, entitlement validation flows, or security fixes may require you to update to a newer version.
We do not guarantee that the software will always be error-free, uninterrupted, or fully compatible with every environment, nor do we guarantee that every feature will remain visible in every build, region, distribution channel, or time period.
11. Intellectual property
Except for user content in which you retain lawful rights, the Zinuto software, related code, interfaces, documentation, design assets, marks, built-in sample content, non-user-generated assets, trademarks, and other intellectual property rights belong to us or the applicable rights holder.
You retain the rights you lawfully hold in your imported data, notes, custom indicator scripts, and other user content. Except as necessary to run, read, parse, display, cache, save, train on, replay, analyze, and otherwise process that content on your device, you do not transfer ownership of it to us and you do not grant us usage rights beyond what is technically necessary for the product to function. We do not claim ownership of imported market data and do not obtain any right to distribute, sell, rent, share, sublicense, or otherwise commercialize it merely because you imported it.
12. Disclaimer
To the maximum extent permitted by law, Zinuto is provided on an “as is” and “as available” basis. Unless we expressly agree otherwise in writing, we make no guarantee that the software will be uninterrupted, error-free, or absolutely secure; that imported data, sample content, statistics, training analysis, or indicator output will be accurate, complete, timely, profitable, or fit for your specific purpose; or that third-party sign-in, email, payment, cloud, or browser services will always remain available.
You understand and agree that training software is meant to support training and record-keeping rather than to guarantee real-world trading outcomes. All real-world investment, trading, hedging, risk management, or asset allocation consequences remain your responsibility. You are also responsible for determining whether you lawfully obtained and are authorized to use any imported market data. We do not make legal determinations or guarantees regarding such authorization.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profit, loss of trading opportunity, loss of data, business interruption, loss of goodwill, or cost of substitute services, even if we were advised such damages might occur.
To the maximum extent permitted by law, our aggregate liability in connection with these Terms or Zinuto is limited to the amount you actually paid us for the relevant paid functionality during the 12 months before the dispute arose. If you paid us nothing, liability is limited to the minimum amount required by applicable law. This clause does not exclude any liability that cannot legally be excluded.
14. Suspension, restriction, and termination
If we reasonably believe that unlawful conduct, account abuse, payment fraud, subscription anomalies, platform requirements, major security risks, system integrity damage, or a material breach of these Terms has occurred, we may suspend or restrict account-related cloud capabilities, subscription validation, sign-in ability, or other affected features to the extent necessary.
You may stop using Zinuto at any time and use the deletion, cleanup, sign-out, or full reset functions provided by the app to remove relevant local data. Unless required otherwise by law or platform rules, stopping use does not automatically reverse subscription charges already incurred and does not replace the need to cancel renewal through the relevant platform.
15. Governing law and dispute resolution
These Terms are governed by the laws of the People’s Republic of China, excluding the laws of Hong Kong, Macau, and Taiwan. Any dispute arising from or relating to these Terms should first be resolved through good-faith consultation. If consultation fails, either party may bring the dispute before the People’s Court of Huangdao District, Qingdao.
16. Updates and contact
We may update these Terms in response to changes in product functionality, third-party dependencies, distribution channel requirements, or applicable law. Updated versions will include a new version date and may be provided through the app, the website, or another reasonable notice method.

17. Apple platform additional terms
If you obtain Zinuto through the Apple App Store, the following additional terms apply to the extent they do not conflict with the rest of these Terms:
- Your license is limited to use on Apple-branded devices that you own or control, subject to the Apple Media Services Terms and applicable usage rules.
- Apple is not responsible for maintenance or support obligations under these Terms. Except where required by law, maintenance and support for the app are provided by us.
- To the extent permitted by law, Apple is not responsible for product liability, support obligations, or claims relating to your possession or use of the app, including consumer protection, product liability, or intellectual property claims, except where applicable law requires otherwise.
- Apple and its subsidiaries are third-party beneficiaries of the Apple-related terms in this document and may enforce those provisions after you accept these Terms.
